1. Agreement

These Terms of Use ("Terms") govern access to the ZeroCrimes public website at www.zerocrimes.com and related marketing pages (the "Site"), operated by ZeroCrimes ("ZeroCrimes," "we," "us," or "our"). By accessing the Site, you agree to these Terms. If you do not agree, do not use the Site. Use of ZeroCrimes enterprise products or paid services is governed by separate written agreements, not these Terms alone.

2. Privacy

Our collection and use of personal information on the Site is described in our Privacy Policy, which is incorporated into these Terms by reference. If there is a conflict between these Terms and the Privacy Policy on a privacy topic, the Privacy Policy controls for that topic.

3. Informational purpose only

Content on the Site describes ZeroCrimes enterprise cybersecurity and compliance infrastructure at a high level. It is for general information only and does not constitute legal, regulatory, audit, or security advice. You are responsible for engaging qualified counsel and advisers for binding decisions in your organization. Product demonstrations and illustrative labels on the Site (including industry-style scenarios) are examples for evaluation, not certifications or guarantees of regulatory outcomes.

4. No offer; early stage

The Site does not constitute an offer to sell or license software or services. ZeroCrimes may discuss scoped engagements with regulated enterprises. Availability, features, pricing, and service levels for any product are subject to separate negotiation and contract.

5. Acceptable use

You agree not to:

  • Use the Site in violation of applicable law or third-party rights;
  • Attempt unauthorized access, probing, or disruption of the Site or our systems;
  • Scrape, harvest, or reverse engineer the Site except as permitted by law;
  • Misrepresent affiliation with ZeroCrimes or use our marks without permission.

6. Intellectual property

The Site, including text, design, diagrams, and trademarks, is owned by ZeroCrimes or its licensors and protected by intellectual property laws. You receive a limited, revocable, non-exclusive license to view the Site for internal business evaluation. No other rights are granted by these Terms.

7. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEROCRIMES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

9. Responsibility for your use

You are responsible for your use of the Site and for ensuring that your access complies with these Terms and applicable law. If your misuse of the Site or material breach of these Terms causes us direct losses (for example, through a deliberate attack on the Site), you agree to be responsible for those losses to the extent permitted by law. This section does not apply to ordinary browsing or good-faith evaluation of the Site, and it does not require you to indemnify us for our own gross negligence or willful misconduct.

10. Governing law and venue

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, consistent with our working formation jurisdiction (Delaware, United States). Exclusive jurisdiction for disputes relating to the Site lies in the state or federal courts located in Delaware, unless applicable law requires otherwise. Licensed counsel may revise governing law and venue when the filed entity and principal address are confirmed for production launch.

11. Changes

We may modify these Terms by posting an updated version on the Site and updating the "Last updated" date. Material changes become effective on the date posted unless a later date is stated. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms where permitted by law. If you do not agree, stop using the Site.

This page remains an interim public draft pending licensed counsel review. It does not become "counsel-reviewed" until that review is recorded.

12. General

  • Entire agreement. These Terms, together with the Privacy Policy for privacy topics, are the entire agreement between you and us regarding the Site and supersede prior or contemporaneous understandings on that subject. Enterprise product agreements control for those products.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a reorganization, merger, or sale of assets.
  • Notices. Legal notices to us may be sent to founders@zerocrimes.com. Principal business address for legal notices: available on written request to founders@zerocrimes.com. We may provide notices to you by posting on the Site or by email if you have contacted us.
  • Survival. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, responsibility for misuse, governing law, and this General section) survive termination of your use of the Site.
  • No waiver. Failure to enforce a provision is not a waiver of that provision or any other.
